Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and Voyai (“Voyai,” “we,” “our,” or “us”). They govern your access to and use of the Voyai website, the ambassador dashboard, the Ava conversational agent, APIs, and any related services (collectively, the “Service”).

By creating an account, starting a free trial, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law. The Service is designed for active VIAGO Ambassadors (“Ambassadors”) — the independent representatives authorized to promote and earn income on VIAGO. Voyai may verify your VIAGO Ambassador status and may suspend or terminate accounts that are not active VIAGO Ambassadors.

2. Your account

You are responsible for all activity under your account, for keeping your credentials secure, and for providing accurate registration information. Notify us immediately at support@voyai.ai if you suspect unauthorized access to your account.

Your Voyai short link (e.g. voyai.ai/yourname) is issued to you for your use while your subscription is active. Voyai reserves the right to reclaim, reassign, or modify slugs that are offensive, misleading, infringing, impersonating another person, or inactive for an extended period.

3. The Service

The Service lets you (a) share a personal short link that presents the VIAGO opportunity to your contacts, (b) let those contacts speak with Ava, an AI agent, in their browser, (c) review transcripts and engagement scores, and (d) participate in the Refer-4 program. Features may change, be added, or be removed at any time. We will use reasonable efforts to give notice of material changes.

4. Free trial

New Ambassadors are offered a seven (7) day free trial of the Starter plan. A valid payment method is required at sign-up. If you do not cancel before the end of the trial, your subscription will automatically convert to a paid subscription and your payment method will be charged the applicable rate. You can cancel at any time before the end of the trial from the ambassador dashboard or by emailing support@voyai.ai.

5. Subscription, billing, and taxes

• Recurring subscription: Voyai is a subscription service billed monthly in advance. Your subscription automatically renews each month until cancelled.
• Pricing: the Starter plan is currently $29 per month. Other tiers are priced as shown on the pricing page at the time of sign-up. Prices for new subscriptions may change at any time. Price changes for existing active subscriptions take effect at the next billing cycle after reasonable advance notice.
• Founding rate: if you subscribe during a period in which we offer a founding rate, we will honor that rate for your continuous active subscription. If you cancel and later resubscribe, the then-current rate will apply.
• Payment processor: payments are processed by Stripe. By providing payment information you authorize us and Stripe to charge your payment method for all fees.
• Taxes: fees are exclusive of applicable taxes. You are responsible for any sales, use, VAT, or similar taxes other than taxes on our net income.
• Refunds: except where required by law, all fees are non-refundable. Cancelling stops future billing; it does not refund the current period.
• Failed payments: if a payment fails, we may suspend or terminate your account until the balance is paid.

6. Refer-4 program

If four (4) Ambassadors you referred to Voyai are concurrently paying for a Voyai subscription at the same or higher tier as yours, we will waive your monthly fee for each month during which that condition is continuously satisfied. If the number of qualifying referrals drops below four, normal billing resumes at your then-current tier. Voyai determines in good faith whether a referral qualifies. Self-referrals, fraudulent sign-ups, and accounts created solely to qualify you for the waiver do not count. We may modify or discontinue the Refer-4 program on reasonable notice.

7. Acceptable use

You agree not to, and not to allow anyone else to:

• Use the Service to send unsolicited commercial messages, spam, or communications that violate any anti-spam, telemarketing, or do-not-call law, including the CAN-SPAM Act, TCPA, or equivalent laws in your jurisdiction.
• Share your Voyai short link with, or direct Ava conversations involving, anyone who has not consented to receive marketing communications from you.
• Make false or misleading claims about VIAGO, income potential, earnings, health outcomes, or the Ava agent.
• Use the Service to promote any business, product, or opportunity other than your authorized VIAGO business.
• Attempt to reverse-engineer, scrape, probe, load-test, or otherwise circumvent the technical limits of the Service.
• Upload or transmit malware, abusive content, content that infringes the rights of others, or content that is unlawful, defamatory, harassing, hateful, obscene, or sexually explicit.
• Use the Service in violation of any applicable law or of VIAGO’s own policies.

8. Your contacts and consent

You are solely responsible for the contacts to whom you send your Voyai short link and for ensuring you have a lawful basis and any required consent to contact them. You represent and warrant that any contact list, referral, or distribution method you use with the Service complies with all applicable privacy and marketing laws.

9. Ava and AI-generated content

Ava is an AI agent. Her responses are generated by machine learning models and may be inaccurate, incomplete, or out of date. Ava does not provide financial, medical, tax, legal, or investment advice, and nothing she says should be treated as such. You are responsible for confirming any material claim Ava makes about your offer and for correcting her with any Prospect who relied on inaccurate information.

10. Intellectual property

Voyai and its licensors own all right, title, and interest in and to the Service, including the Ava avatar, the Voyai name, logos, software, and content (excluding Ambassador Content as defined below). Nothing in these Terms transfers any of those rights to you. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely as permitted by these Terms during your active subscription.

10.1 Ambassador Content

“Ambassador Content” means content you submit to the Service, including your profile information, uploaded materials, and configuration settings. You retain ownership of Ambassador Content. You grant Voyai a worldwide, royalty-free, non-exclusive license to host, copy, transmit, display, and process Ambassador Content solely to operate and improve the Service.

10.2 Feedback

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

11. Third-party services

The Service integrates with third-party services (for example Stripe, HeyGen, Cartesia, and AI model providers). Those services are governed by their own terms. Voyai is not responsible for third-party services and does not guarantee their availability or behavior.

12. Term, suspension, and termination

These Terms remain in effect while you use the Service. You may cancel at any time from your account or by contacting support@voyai.ai. Voyai may suspend or terminate your access, with or without notice, if we believe you have violated these Terms, if required by law, or if your account presents a risk to other users or to the Service. On termination, your right to use the Service ends and we may delete your account and associated data after a reasonable retention period.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by law, Voyai disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. Voyai does not warrant that the Service will be uninterrupted, error-free, or secure, that AI responses will be accurate, or that the Service will achieve any particular business, sales, or income result.

No income or earnings guarantee.Voyai makes no representation that using the Service will produce any level of income, sign-ups, or business results. Income depends on many factors outside of Voyai’s control, including your effort, skill, market conditions, and compliance with VIAGO requirements.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOYAI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

VOYAI’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VOYAI IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to defend, indemnify, and hold harmless Voyai and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service, (b) your Ambassador Content, (c) your contacts or marketing practices, (d) your violation of these Terms, or (e) your violation of any law or the rights of a third party.

16. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Subject to Section 17, you and Voyai agree that the exclusive venue for any action arising out of or related to these Terms or the Service will be the state or federal courts located in Dallas, Texas, and you consent to the personal jurisdiction of those courts.

17. Dispute resolution

Before filing suit, the parties agree to try in good faith to resolve any dispute informally by contacting support@voyai.ai with a written description of the dispute. If the dispute is not resolved within thirty (30) days, either party may bring a claim in the courts identified in Section 16.

Class-action waiver. To the extent permitted by law, each party may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class or representative action.

18. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify Ambassadors by email or through the product. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Service and cancel your subscription.

19. Miscellaneous

• Entire agreement: these Terms, together with the Privacy Policy and any order or plan page, are the entire agreement between you and Voyai regarding the Service.
• Assignment: you may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
• Severability: if any provision is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the minimum extent necessary to be enforceable.
• No waiver: failure to enforce any provision is not a waiver of the right to enforce it later.
• Notices: we may deliver notices to you by email to the address associated with your account or by posting to the Service.
• Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
